Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Openinvoice mobile application, website, and related services (collectively, the "Service").
By creating an account or using Openinvoice, you agree to these Terms. If you do not agree, you must stop using the Service.
1. Who We Are
Openinvoice is operated by Canopas Software LLP ("Openinvoice", "Company", "we", "us", "our"), a company registered in India at 552-554, Laxmi Enclave 2, Katargam, Surat, Gujarat 395004.
Openinvoice provides software that allows users to create invoices, estimates, and related documents for business or personal use.
2. Eligibility
To use Openinvoice:
- You must be at least 13 years old.
- You must have the legal capacity to enter into a binding agreement.
- If you use Openinvoice on behalf of a company or organization, you confirm that you have the authority to bind that entity to these Terms.
3. License to Use Openinvoice
We grant you a personal, limited, non-exclusive, revocable license to use Openinvoice for its intended purpose.
You agree not to:
- misuse the Service or use it in violation of any laws or regulations
- attempt to reverse engineer, copy, or redistribute the software
- create fraudulent invoices, misleading financial documents, or engage in financial manipulation or fraud
- transmit spam, scams, deceptive communications, or misrepresent yourself or others
- upload malware, harmful code, or other malicious content
- attempt unauthorized access to accounts, servers, or systems
- disrupt, interfere with, or attempt to compromise the operation, functionality, or security of the Service
- harass, threaten, or abuse other users
- launder money or support any illegal activities
All rights not expressly granted remain with Canopas Software LLP.
4. Your Account
To use most features of Openinvoice, you must create an account.
You agree to:
- provide accurate information when registering
- keep your account information updated
- keep your password secure
- notify us immediately if you suspect unauthorized access
You are responsible for all activity that occurs under your account.
We are not responsible for losses caused by unauthorized access if you fail to secure your account credentials.
5. User Content
Openinvoice allows users to create and store content such as invoices, estimates, client information, and attachments ("User Content").
You retain ownership of your User Content.
However, you grant Openinvoice a non-exclusive, royalty-free license to:
- store your content
- process your content
- transmit your content as necessary to provide the Service
You are solely responsible for the content you create, upload, or share using the Service.
You may not share content that:
- You don’t have the right to share
- Contains private or sensitive personal data
- Is hateful, violent, or discriminatory
- Is sexually explicit or exploitative
- Is illegal or promotes illegal acts
- Is spam, scams, or deceptive promotions
Violations may result in content removal or account termination.
Openinvoice does not verify the accuracy or legality of invoices, estimates, or any other content created by users.
Openinvoice acts only as a software platform and does not provide accounting, financial, or tax advice.
6. Sharing Documents
Openinvoice allows users to share invoices or estimates with clients or other recipients.
You are responsible for:
- ensuring the accuracy of information in documents
- obtaining permission to share personal information contained in invoices
- complying with applicable laws regarding billing and taxation
Openinvoice is not responsible for how recipients use or store documents once they have been shared.
7. Fees and Subscriptions
Some features of Openinvoice may require payment.
If you purchase a subscription:
- payments may be processed through Apple App Store or Google Play
- subscription terms and refunds are governed by those platforms
- subscriptions may automatically renew unless cancelled
You may cancel your subscription through your app store account settings.
We reserve the right to change pricing with reasonable notice.
8. Service Availability
We strive to keep Openinvoice available and functioning properly.
However, we do not guarantee that the Service will always be:
- uninterrupted
- error-free
- completely secure
While Openinvoice takes reasonable steps to protect and store user data, users are responsible for maintaining backups of important information such as invoices and financial records. Openinvoice is not responsible for any loss of data resulting from user actions, system failures, or external events.
We may modify, suspend, or discontinue parts of the Service at any time.
9. Intellectual Property
All intellectual property rights in Openinvoice, including:
- software
- design
- logos
- trademarks
- content
belong to Canopas Software LLP.
You may not copy, modify, distribute, or reverse engineer any part of the Service without written permission.
10. Privacy
Your use of Openinvoice is also governed by our Privacy Policy.
The Privacy Policy explains how we collect, process, and protect your personal data.
11. Termination
You may stop using Openinvoice at any time.
You may delete your account through the application settings.
We may suspend or terminate accounts if:
- these Terms are violated
- the Service is used illegally
- the Service is abused or misused
Upon termination, access to the Service may be removed.
12. Limitation of Liability
To the maximum extent permitted by law, Openinvoice shall not be liable for:
- loss of profits
- loss of business
- loss of data
- indirect or consequential damages
arising from the use of the Service.
Openinvoice’s total liability shall not exceed the amount you paid for the Service during the previous 12 months.
13. Disclaimer
The Service is provided "as is" and "as available".
We do not guarantee that:
- the Service will always be available
- the Service will be free from errors
- the Service will meet all user expectations
14. Force Majeure
Openinvoice shall not be held liable for any delay, failure, or interruption in the Service caused by events beyond our reasonable control. These events may include natural disasters, acts of government, war, terrorism, labor disputes, internet service disruptions, power failures, cyberattacks, or failures of third-party service providers.
During such events, we will make reasonable efforts to restore the Service as soon as possible.
15. Changes to These Terms
We may update these Terms periodically. Updated Terms will be posted within the app or on our website. Continued use of the Service after changes means you accept the updated Terms.
16. Entire Agreement
These Terms of Service, together with the Privacy Policy, constitute the entire agreement between you and Openinvoice regarding the use of the Service and replace any prior agreements or understandings.
17. Governing Law
These Terms are governed by the laws of India, without regard to conflict of law principles.
Any disputes related to these Terms or the Service will be resolved in the courts located in India.
